Steps for start-up

1. Select your business location and complete lease or acquisition.

2. Set up a company structure for the business, whereas in Thailand 51 % of shares have to be Thai owned.

(USA citizens are the only exception to this rule due to a TH-US treaty )

 

3. Appoint a minimum of 3 directors , of whom one should be a Thai Director.

The set up of Company strucure is advised to be done with local legal firm in Thailand.

 

4. Register the company with the Ministery of Commerce and register the VAT and Tax number

Paid up Capital is minimal THB 2 million.

5. Register VAT and Tax number

Required to obtain a Tax Identification Number at the Department of Revenue in Thailand.
In addition one is to register Value Added Tax (VAT) and to register Corporate Income Tax (CIT)

6. Social security - register the employees to Social Security Fund of Thailand

Registration to be done with Social Security Office, SSO

7. Licences :

7a. Construction permit , for the building in which the restaurant is located. This permit to be obtained at the Local District Office of the municipality where business is located

7b. Restaurant / food License - to be applied for and obtained after construction permit is granted. This license is for restaurant larger than 200m2 , to be applied at local govt office. If the area is smaller than 200 m2 than a "Certification of Notice" will suffice.

7c. Alcohol License - to be obtained after the restaurant license; from the excise department in local district. Food and Alcohol License are to obtained from the regional Excise Department
